# From contract management to property portfolio governance

In large, geographically dispersed property portfolios, the challenge lies not in delivering individual services, but in managing them in a unified manner. Multiple contracts, different suppliers, fragmented data and inconsistent processes give rise to inefficiencies that are difficult to identify and even harder to quantify.

The eFM Digital Governance Service addresses this need with an ecosystem of coordinated services for the management and governance of the property portfolio, in which data forms the basis of every decision.

**Three enabling technologies**

- **Smart Contracts**: digital contracts that automatically execute agreed terms and validate the most efficient configurations, enabling truly data-driven decisions.
- **Digital Twin**: a virtual replica of the building that monitors its condition in real time, simulates alternative scenarios and suggests reconfigurations to improve its productivity.
- **Digital Agents**: digital assistants that analyse data in real time and trigger corrective actions. They safeguard and develop organisational knowledge, with the ability to act autonomously, coordinate across different areas and behave predictably.
- **Gap analysis of existing contracts**. Assesses compliance and performance against benchmark requirements, identifies areas for improvement and opportunities for cost savings. Concludes with recommendations, a detailed action plan and supporting contractual documentation.
- **Contract and supplier management**. Manages deadlines, clauses and fee calculation rules; monitors the compliance of suppliers and subcontractors; and determines the fees actually due based on the services provided and the volumes served.
- **Procurement model and service design**. It defines the procurement strategy in line with the sector, local market and portfolio priorities: level of service integration (e.g. bundles), contractual model (activity-based or performance-based) and remuneration model (fixed price, fee with a threshold). It extends to the target budget, tender documents and technical specifications.
- **Support during the tender process**. This covers the RFI and RFP stages, the criteria for evaluating technical and financial bids, the evaluation report and negotiations, with recommendations for supplier selection.
- **Data governance and process control**. This ensures consistency between planned activities and contractual service levels, highlights gaps and inefficiencies, and identifies industry best practices for both scheduled and on-demand activities.
- **Performance monitoring**. It calculates KPIs and verifies SLAs, through regular meetings with suppliers, on-site audits (optional) and user satisfaction surveys.
- **Expenditure monitoring**. It defines the baseline, analyses the breakdown by service line and supplier, compares the data with industry benchmarks and pays particular attention to inefficiencies in non-contractual expenditure.
- **Budget management support**. Prepares budgets and forecasts based on historical data, monitors budget erosion and verifies quotations and work carried out to support authorisation of invoicing.
- **Contact Centre**. A centralised, multi-channel unit (web, email, chat) that collects, standardises and tracks reports, promptly alerts suppliers and follows up on complaints and reminders.
- **Asset lifecycle monitoring**. It supports Building Managers in investment planning and the selection of maintenance strategies, using strategic indicators such as the Facility Condition Index (FCI), through a decision support system (DSS).
- **Roles and responsibilities**: target functional organisation chart, new matrix of responsibilities, training plan and change management programme.
- **Processes, procedures and regulations**: standard operating procedures, guidelines and a framework for integration with the governance centre.

The catalogue is divided into three areas: Contracts, Control and Monitoring, and Business Process Re-engineering (BPR).

**1. Contracts: optimising existing arrangements, designing new ones**

This area covers the entire contract lifecycle, from reviewing existing contracts to defining new procurement models.

**2. Control and monitoring: data-driven decisions**

This is the operational heart of the model and comprises six services.

**3. Process reorganisation: the organisational factor**

Governance is not limited to tools: clear roles and shared processes are required. The Business Process Re-engineering (BPR) service operates on two levels:

Each service produces verifiable outputs: such as analytical reports, action plans, compliance reports, KPI and SLA dashboards, tender documentation and responsibility matrices; thus, the contribution of governance is measured in terms of efficiency, cost control and service quality.

**A single point of governance**

The Digital Governance Service is a process in which data is collected, validated, interpreted and transformed into decisions. For organisations with complex portfolios, the value lies precisely in this continuity: a single point of governance that links contracts, expenditure, performance, processes and assets, reduces fragmentation and strengthens decision-making capabilities to optimise the property portfolio.
